FarmyHub Terms & Conditions

Effective Date: 1 March 2024

FarmyHub OÜ (“FarmyHub”, “we”, “us”, or “our”) operates an online agriculture marketplace platform connecting sellers and buyers of agricultural products and services. By accessing or using FarmyHub’s platform, website, or services, you (“User”, “Seller”, “Buyer”, “Visitor”) agree to comply with and be bound by these Terms & Conditions.

These Terms constitute a legally binding agreement between you and FarmyHub.

1. Agreement and Acceptance of Terms

Effective Date: 1 March 2024

Please read these Terms and Conditions carefully. By accessing or using FarmyHub’s platform (https://farmyhub.com), registering an account, submitting content, or engaging in any activity on the platform, you agree to be legally bound by these Terms.

By proceeding, you confirm that:

  • You have read, understood, and agree to these Terms, including any future changes notified to you via the platform or by email.

  • You are at least 18 years old or have reached the legal age of majority in your jurisdiction.

  • You understand that FarmyHub’s platform is open to both individual users and business entities (sole proprietors, companies, cooperatives, or registered organizations).

  • If you register an account on behalf of a business or organization, you warrant that you have the full legal authority to bind that entity to these Terms. The business name must be clearly indicated during registration.

  • You agree that different rules, responsibilities, and protections may apply depending on whether you use the platform as a consumer or a business. By agreeing to these Terms, you also confirm that any person or entity you represent is equally bound by them.

Additional Notes:

  • FarmyHub primarily targets users located in the Philippines. If you access or use FarmyHub’s platform from outside the Philippines, you do so at your own risk and are responsible for compliance with any local laws that may apply to you.

  • FarmyHub reserves the right to amend or update these Terms at any time. Users will be notified of significant changes via email or platform notice. Continued use of the platform after such notice constitutes acceptance of the updated Terms.

  • You acknowledge and agree that these Terms form a legally binding agreement equivalent to a written, signed contract under applicable law.

2. User Representations, Warranties, and Obligations

By using FarmyHub, you expressly represent, warrant, and agree that:

2.1 Legal Capacity & Lawful Use

  • You have the legal capacity to enter into this Agreement.

  • You will use FarmyHub’s platform solely for lawful purposes and in compliance with all applicable laws, regulations, and agricultural standards in your country, including the Philippines and European Union if applicable.

  • You acknowledge that when using the platform, you are responsible for compliance with all applicable laws in your jurisdiction.

    • For users located in the Philippines, Philippine law applies.

    • For users located in the European Union, EU regulations may also apply.

  • You must not use the platform to sell, list, or promote products that are prohibited, restricted, or fail to meet regulatory or safety standards in your jurisdiction (including but not limited to agricultural goods, livestock, or food products).

  • You will not use the platform for fraudulent, deceptive, harmful, or illegal purposes.

2.2 Account Information & Verification

  • All information you provide during registration or use of the platform must be truthful, accurate, current, and complete at all times.

  • You agree to promptly update your account information if any changes occur to ensure continued accuracy.

FarmyHub reserves the right to request verification documents at any time, including but not limited to:

  • Valid government-issued identification

  • Business registration certificates

  • Tax documents (e.g., BIR Certificate of Registration in the Philippines or VAT documentation in the European Union)

  • Any other documentation necessary for compliance with applicable laws or regulatory requirements

Additional Notes:

  • Failure to provide the requested verification within fourteen (14) days from the date of request may result in the suspension or termination of your account.

  • Suspended accounts may be reactivated upon successful verification, at FarmyHub’s sole discretion.

  • FarmyHub retains sole discretion to assess the validity and sufficiency of submitted documents.

2.3 Platform Integrity & Security

You agree to maintain the confidentiality of your account credentials and understand that you are fully responsible for all activity conducted under your account, whether authorized or unauthorized.

You must not:

  • Access FarmyHub by any unauthorized means.

  • Use bots, scripts, crawlers, or scrape data from the platform.

  • Overload, disrupt, or harm the platform’s systems or infrastructure.

  • Upload harmful code, viruses, malware, or engage in hacking or unauthorized access.

  • Copy, reproduce, or republish any content, listings, images, or data from FarmyHub without prior written permission.

  • Circumvent or attempt to circumvent any security features, access controls, or usage restrictions on the platform.

  • Reverse-engineer, decompile, or create derivative works based on FarmyHub’s platform or its content.

2.4 Content and Intellectual Property

A. Content Standards

  • You will not upload, post, or share any content that is illegal, false, misleading, fraudulent, defamatory, or violates any applicable laws or regulations.

B. Ownership and Rights

  • You represent and warrant that you own all rights to the content you upload or have valid authorization to share such content. This includes, but is not limited to:

    • Images

    • Product descriptions

    • Logos

    • Trademarks

C. Third-Party Rights Protection

  • You agree not to upload or post content that infringes upon the:

    • Intellectual property rights

    • Privacy rights

    • Other legal rights of any third party

D. Platform Rights & Enforcement

  • FarmyHub reserves the right to remove, restrict, or suspend any content, listings, or user accounts that violate:

    • These Terms

    • Applicable laws

    • Platform policies

  • Where reasonably possible, FarmyHub may notify the user of content removal, but reserves the right to remove content without notice if necessary.

E. License Grant to FarmyHub

  • By uploading content, you grant FarmyHub a non-exclusive, royalty-free, worldwide license to:

    • Use

    • Display

    • Reproduce

    • Promote your content

  • This license is solely for platform operations, marketing, and service improvement.

  • This license remains in effect until you remove the content or close your account, except where content has been shared or used prior.

F. User Responsibility

  • Users remain fully responsible and legally liable for any content they submit. This includes any resulting claims of intellectual property infringement or damages caused by the uploaded content.

G. Reporting to Authorities

  • FarmyHub reserves the right to report unlawful content or activities to relevant authorities when necessary, including:

    • Philippine Department of Trade and Industry (DTI)

    • Intellectual Property Office of the Philippines (IPOPHL)

H. Prohibited Content

  • You are strictly prohibited from uploading, posting, listing, or sharing any content that is:

    • Sexually explicit

    • Pornographic

    • Obscene

    • Contains nudity

    • Offers or promotes sexual services

  • FarmyHub reserves the right to remove such content immediately and suspend or terminate the responsible account without prior notice.

2.5 Prohibited Activities

You agree that you will not, under any circumstances:

  • Resell, sublicense, distribute, or commercially exploit FarmyHub’s platform, services, or any part thereof without prior written consent from FarmyHub.

  • Misuse promotional codes, discounts, or credits, including by redeeming multiple coupons fraudulently, using fake accounts, or otherwise manipulating platform systems for personal or financial gain.

  • Harm, harass, threaten, or abuse other users, FarmyHub staff, or any third parties connected to the platform, including through communication, listings, or posted content.

  • Violate any intellectual property rights, including but not limited to:

    • Copying, extracting, scraping, or reusing platform content, listings, images, data, or database structures without authorization.

    • Republishing or distributing content outside FarmyHub without permission.

  • Interfere with the platform’s operations, including attempting to:

    • Gain unauthorized access to FarmyHub systems or accounts.

    • Upload harmful code, viruses, or engage in hacking, data mining, or scraping activities.

    • Disrupt or overload platform infrastructure, servers, or networks.

Additional Notes:

  • All prohibited activities described above are enforceable under the relevant laws of the Philippines, the European Union, and international intellectual property treaties.

  • FarmyHub reserves the right to investigate suspected violations and report fraudulent, abusive, or illegal activities to the appropriate authorities, including the Philippine National Police (PNP) Cybercrime Group or European law enforcement agencies.

2.6 Reporting Obligations

  • You agree to promptly report any of the following to FarmyHub without undue delay:

    • Bugs, errors, or system vulnerabilities

    • Unauthorized access or attempted access to accounts, data, or systems

    • Suspected misuse of the platform, including fraudulent or illegal activity by other users

  • Failure to report such incidents may result in immediate account suspension, termination, or legal action, where applicable.

  • Reports must be sent through FarmyHub’s official communication channels (e.g., designated email or in-app reporting tools) to be valid.

FarmyHub reserves the right to:

  • Investigate any reports or suspected violations.

  • Take necessary action, including account suspension, content removal, or platform restrictions.

  • Report any illegal, fraudulent, or harmful activity to the relevant authorities, including but not limited to:

    • Philippine Department of Trade and Industry (DTI)

    • Bureau of Internal Revenue (BIR)

    • National Privacy Commission (NPC)

    • Philippine National Police (PNP) Cybercrime Group

    • European Union law enforcement or data protection authorities, if applicable

2.7 User Account Responsibilities

  • Your FarmyHub account is personal and non-transferable. It may only be used by you, the registered account holder.

  • You are solely responsible for all activity conducted under your account, whether authorized or unauthorized.

  • You must keep your login credentials confidential and take all reasonable measures to prevent unauthorized access, including access by minors.

  • Account sharing, assignment, or transfer to another person or legal entity is strictly prohibited without FarmyHub’s prior written consent.

  • You must immediately notify FarmyHub if you suspect unauthorized access, misuse, or a security breach involving your account.

FarmyHub reserves the right to suspend or terminate your account if we reasonably suspect that:

  • You have provided false, inaccurate, incomplete, or misleading information, or

  • Your account has been compromised, misused, or involved in fraudulent, illegal, or harmful activities.

2.8 FarmyHub Enforcement Rights

FarmyHub reserves the right to suspend, restrict, or terminate user accounts, remove content, or block access to the platform at its sole discretion for any violation of:

  • These Terms

  • Applicable laws or regulations

  • FarmyHub platform policies

FarmyHub may also initiate legal action or report violations to the relevant authorities, including but not limited to:

  • Philippine Department of Trade and Industry (DTI)

  • Bureau of Internal Revenue (BIR)

  • National Privacy Commission (NPC)

  • Philippine National Police (PNP) Cybercrime Group

  • European Union law enforcement or data protection authorities

Actions may be taken with or without prior notice if FarmyHub deems it necessary to protect the platform, its users, or ensure legal compliance.

FarmyHub retains full discretion in determining the severity of any violation and the appropriate enforcement action, including permanent account termination or legal reporting where required.

3. FarmyHub Platform Access and Free Use

  • FarmyHub is currently offered as a free platform. Users may create listings, communicate, and access services without any subscription fees, commissions, or paid upgrades.

  • The availability of free access to FarmyHub does not constitute an obligation to provide free services indefinitely.

  • FarmyHub reserves the right to introduce premium features or paid services in the future.

  • Any such changes will be communicated to users in advance through updates to these Terms and Conditions or via direct platform notifications.

  • Any future premium features or paid services will be optional and will not retroactively apply fees to previously free services without explicit user consent.

  • Continued use of the platform after such notice constitutes acceptance of any updated Terms.

4. User Activity and Inactive Status

To maintain the integrity and reliability of FarmyHub’s platform, user activity is monitored periodically.

4.1 Inactivity Policy

  • FarmyHub reserves the right to classify user accounts as “Inactive” if no login or platform activity is detected for a continuous period of twelve (12) consecutive months.

  • “Inactive” status means that the user’s account, profile, and associated listings may be temporarily hidden from public view or paused until reactivated by the user.

  • No listings will be deleted solely due to inactivity.

  • FarmyHub will provide reasonable notice via email or platform notification before changing the user’s status to inactive.

4.2 Reactivation

  • Users may restore their active status at any time by logging back into their account or contacting FarmyHub support through official channels.

  • Reactivation of the account will automatically restore previously paused listings unless otherwise requested by the user.

4.3 No Subscription Tiers

  • FarmyHub currently operates as a free platform, and the inactivity policy applies equally to all users, whether individuals or businesses.

  • If FarmyHub introduces premium or subscription-based services in the future, specific rules or inactivity thresholds may be applied to paid tiers.

  • Any such changes will be reflected in an updated version of these Terms and Conditions.

5. Strategic Partnerships

  • FarmyHub may, at its sole discretion, enter into strategic partnerships or collaborations with individual users, businesses, or organizations.

  • In such cases, FarmyHub reserves the right to offer special terms, benefits, or exemptions — including potential discounts or waivers of future paid features or subscription fees — as part of the partnership agreement.

  • Any such terms will be documented in a separate written agreement between the parties.

6. Independence of Sellers and Third Parties

FarmyHub provides a technological platform that connects buyers, sellers, farmers, merchants, and other users.

You acknowledge and agree that FarmyHub:

  • Is not a producer, manufacturer, supplier, retailer, merchant, or delivery service provider.

  • Does not sell, own, or control the products or services listed on the platform.

  • Serves solely as an intermediary platform to facilitate connections and communications between users.

6.1 Clarification of Responsibility

For the avoidance of doubt:

  • FarmyHub is not a party to any sale, contract, transaction, or agreement between buyers and sellers conducted through the platform.

  • All contractual obligations, warranties, and liabilities rest solely with the respective buyers and sellers.

6.2 No Guarantees by FarmyHub

FarmyHub does not guarantee or verify:

  • The quality, safety, legality, or accuracy of any product or service listed.

  • The qualifications, licenses, or certifications of any seller.

  • The fulfillment, delivery, or performance of any transaction.

6.3 User Due Diligence

  • Users are responsible for conducting their own due diligence before engaging in any transaction or purchasing any product or service on the platform.

6.4 Limitation of Liability

FarmyHub shall not be held liable for:

  • Any loss, damage, injury, or fraud arising from user interactions, product purchases, or services initiated through the platform.

  • Any act or omission of sellers, buyers, third parties, or independent service providers.

FarmyHub does not operate as a common carrier, logistics company, or delivery service. Any delivery, transport, or handling of goods is the sole responsibility of the seller or third-party service provider involved.

6.5 Dispute Handling

In case of disputes, FarmyHub may assist in mediation at its sole discretion but is under no obligation to resolve conflicts between users.

  • Where assistance is offered, FarmyHub provides no guarantee of resolution and assumes no liability for the outcome or any delays.

  • Users are encouraged to resolve disputes directly within thirty (30) days of the occurrence of the issue.

8. Third-Party Links, Promotions, and Affiliate Content

  • FarmyHub’s platform may display links, banners, or promotional content that direct users to third-party websites, products, or services. These links are provided for informational or promotional purposes only.

  • FarmyHub does not sell, own, control, or guarantee any third-party products or services featured or linked on the platform.

  • By clicking these links, you understand that you are leaving the FarmyHub platform and will be subject to the third party’s terms, conditions, and privacy policies.

  • FarmyHub is not a party to any transaction that takes place on third-party websites. Any purchase, use of services, or engagement with third-party platforms is solely between you and the third party.

  • FarmyHub disclaims all liability for any loss, damage, or issues arising from your interaction with third parties.

  • FarmyHub may receive compensation or enter into affiliate agreements with some third-party websites in the future. However, the presence of a link or promotional content does not constitute an endorsement or guarantee by FarmyHub.

User Responsibility

  • We encourage users to perform their own due diligence and carefully review the third party’s terms and privacy policies before engaging in any transaction.

  • Where FarmyHub earns affiliate income or commissions from third-party links or promotions, such relationships will be disclosed to users in compliance with the European Union Digital Services Act (DSA) and other applicable regulations.

9. Age-Restricted Products and Transactions

FarmyHub is primarily an agriculture-focused platform. However, certain products or services listed — such as agricultural chemicals, pesticides, veterinary medicines, over-the-counter medications, or other regulated agricultural goods — may be subject to age restrictions or specific legal requirements.

9.1 Seller Responsibilities

  • Sellers are fully responsible for ensuring that any age-restricted or regulated products listed on the platform comply with all applicable laws, regulations, and licensing requirements in both their own and the buyer’s jurisdiction.

  • Sellers must verify that such products can be legally sold and delivered in the buyer’s location.

  • If applicable, sellers must implement necessary controls to prevent unlawful sales or deliveries.

9.2 Buyer Responsibilities

  • Buyers confirm that they are legally permitted to purchase, receive, or engage with any products listed on FarmyHub, including age-restricted or regulated goods.

  • Buyers acknowledge that FarmyHub or the seller may request age verification or any required legal documentation prior to completing a transaction involving age-restricted products.

9.3 Age Verification and Transaction Cancellation

  • If age verification fails or required documentation is not provided when requested, FarmyHub and/or the seller reserves the right to:

    • Cancel the transaction, and/or

    • Restrict or block access to the specific product or listing.

  • FarmyHub will not be liable for any failure to complete a transaction due to non-compliance with legal age or regulatory requirements.

9.4 Legal Disclaimer

  • All liability for compliance with age-restricted product laws and regulations rests solely with the buyer and the seller.

  • FarmyHub disclaims all liability for any non-compliance, regulatory violations, or illegal transactions related to age-restricted products conducted between users.

  • Buyers and sellers are individually responsible for knowing and complying with the relevant laws in their jurisdiction.

10. Indemnification

You agree to indemnify, defend, and hold harmless FarmyHub OÜ, its directors, officers, employees, agents, affiliates, and service providers from and against any and all:

  • Losses

  • Costs

  • Damages

  • Liabilities

  • Penalties

  • Fines

  • Claims

  • Demands

  • Expenses

  • Legal fees (including reasonable attorney’s fees)

arising out of or related to:

  • Your user content, feedback, ratings, or reviews.

  • Your use or misuse of the platform, services, or any FarmyHub-provided software.

  • Your violation of these Terms or any applicable laws, regulations, or third-party rights.

  • Any claims that your content infringes the intellectual property rights, privacy rights, or other legal rights of a third party.

  • Any transaction or interaction conducted through FarmyHub between you and another user, including disputes, product liability, or regulatory non-compliance.

Defense Rights

  • FarmyHub reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

  • In such cases, you agree to cooperate fully with FarmyHub in asserting any available defenses.

11. Disclaimer of Warranties

You expressly acknowledge and agree that your use of FarmyHub’s platform, services, or any related software is at your sole risk.

  • FarmyHub provides the platform, content, and services “as is” and “as available”, without any warranties, representations, or guarantees of any kind — whether express, implied, statutory, or otherwise.

11.1 Scope of Disclaimer

To the maximum extent permitted by law, FarmyHub disclaims all warranties, including but not limited to:

  • Accuracy, reliability, completeness, or timeliness of any content, listings, or materials provided on the platform.

  • Merchantability, fitness for a particular purpose, or non-infringement.

  • Continuous, error-free, or secure access to the platform.

  • Protection from viruses, malware, or other harmful code transmitted through the platform or third-party integrations.

11.2 Limitations

  • FarmyHub does not warrant that the platform will meet your specific requirements or expectations, or that the services will be uninterrupted or free from errors.

  • You are solely responsible for ensuring that any content, files, or materials downloaded or obtained through FarmyHub are safe and compatible with your devices.

  • FarmyHub is not liable for any damage or loss, including economic loss, resulting from such downloads.

11.3 Non-Excludable Rights

  • Nothing in these Terms excludes or limits any non-excludable warranties or consumer rights provided under applicable Philippine law, European Union law, or international regulations.

12. Limitation of Liability

To the maximum extent permitted by applicable law, FarmyHub, its officers, directors, employees, affiliates, partners, and agents shall not be liable for any:

  • Indirect

  • Punitive

  • Special

  • Exemplary

  • Incidental

  • Consequential

  • Loss of profits, revenue, goodwill, data, or business opportunities

arising out of or in connection with:

  • Your access to or use of the platform, services, or content.

  • Any errors, inaccuracies, or omissions in content or listings.

  • Transactions or disputes between users, including buyers and sellers.

  • Any third-party actions, content, or external links.

  • Unauthorized access, hacking, viruses, or other security breaches.

  • Temporary or permanent unavailability of the platform.

This limitation applies regardless of whether the damages were foreseeable or whether FarmyHub was advised of the possibility of such damages.

Non-Excludable Provisions

  • Nothing in this clause excludes or limits any statutory rights or non-excludable warranties granted to you under Philippine law, European Union law, or other applicable regulations that cannot be lawfully excluded or limited.

13. Intellectual Property Ownership

All rights, ownership, and interests — including, but not limited to, intellectual property rights — in and to the FarmyHub platform, website, software, services, content, trademarks, and logos belong to and shall remain the exclusive property of FarmyHub OÜ.

Nothing in these Terms grants you any rights, licenses, or ownership to FarmyHub’s intellectual property, except where explicitly permitted in writing.

You agree that you shall not:

  • Copy, reproduce, modify, distribute, sell, or rent any part of the FarmyHub platform or services.

  • Alter, obscure, or remove any copyright, trademark, or proprietary notices appearing on the platform.

  • Use FarmyHub’s name, logos, or trademarks without prior written consent.

  • Create derivative works from or attempt to reverse-engineer any part of the FarmyHub platform.

FarmyHub reserves all rights not expressly granted in these Terms.

14. Internet Delays and Technical Limitations

You acknowledge that FarmyHub’s platform, website, and services may be subject to technical limitations, internet delays, interruptions, or other inherent issues associated with the use of online platforms.

FarmyHub does not guarantee uninterrupted, error-free, or secure access to the platform at all times. Users understand and agree that:

  • Delays, failures, or interruptions in communication, transactions, or platform access may occur due to factors beyond FarmyHub’s control, including internet congestion, server downtime, or system maintenance.

  • FarmyHub shall not be held liable for any losses, damages, delivery failures, or economic harm arising from such technical limitations or internet delays.

  • Users are solely responsible for ensuring their own internet connectivity, device compatibility, and access requirements when using the platform.

FarmyHub will make reasonable efforts to maintain platform availability but makes no warranties or guarantees of continuous service.

15. Privacy and Data Protection

By using FarmyHub’s platform, website, or services, you acknowledge and agree that personal data you provide will be collected, processed, and stored in accordance with our Privacy Policy.

You consent to the collection and processing of your personal information for purposes including but not limited to:

  • Account creation and management

  • Communication and platform operations

  • Fraud prevention and legal compliance

FarmyHub handles all personal data in accordance with:

  • The General Data Protection Regulation (GDPR)

  • The Philippines Data Privacy Act (RA 10173)

  • Any other applicable data protection laws

If you do not agree with our privacy practices, you must stop using FarmyHub’s platform.

16. Dispute Resolution and Arbitration

A. Good Faith Negotiation

  • In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the use of FarmyHub’s platform, or any services provided, both parties agree to first attempt to resolve the matter amicably through good faith negotiations.

  • You agree to contact FarmyHub at support@farmyhub.com to initiate the dispute resolution process.

B. Arbitration Clause

If a resolution cannot be reached within thirty (30) days, the dispute shall be submitted to arbitration, unless prohibited by applicable law.

  • The arbitration shall be conducted in Estonia or, if you are based in the Philippines, within the Philippines, at FarmyHub’s discretion.

  • Arbitration will be administered by a recognized arbitration body, such as the Estonian Chamber of Commerce and Industry (ECCI) or the Philippine Dispute Resolution Center, Inc. (PDRCI).

  • The arbitration shall be conducted in English.

  • The decision of the arbitrator(s) will be final and binding on both parties, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

C. Limitation of Relief

You agree that:

  • Class actions, collective claims, or representative proceedings are not permitted under this arbitration.

  • The arbitrator may award relief only on an individual basis, not affecting other users or third parties.

  • Claims for injunctive or equitable relief may still be brought in court, where necessary.

D. Optional Local Remedies

  • For Philippine-based users, you retain the right to seek mediation or file a complaint with the Philippine Department of Trade and Industry (DTI) or other relevant agencies under the Consumer Act or E-Commerce Act, where applicable.

E. Governing Law

  • This Arbitration Agreement and all disputes shall be governed by the laws of Estonia and European Union regulations, unless overridden by Philippine law where mandatory.

17. Scope of the Arbitration Agreement

A. Agreement to Arbitrate

You understand and agree that any dispute, controversy, or claim arising out of or relating to:

  • Access or use of FarmyHub’s platform.

  • Any transactions or interactions conducted through the platform.

  • These Terms and Conditions.

shall be resolved through binding arbitration, rather than litigation in court.

However, you or FarmyHub may pursue qualifying claims in small claims court in your jurisdiction, if applicable.

This Arbitration Agreement applies to:

  • Any disputes arising before or after the effective date of these Terms.

  • All claims between you and FarmyHub, regardless of when the claim arises.

B. Arbitration Procedure

  • Initiating Arbitration: You must send a formal written request for arbitration to FarmyHub at info@farmyhub.com, describing your claim in detail.

  • Forum and Rules: Arbitration will be administered by a recognized dispute resolution center, such as:

    • The Estonian Chamber of Commerce and Industry (ECCI).

    • The Philippine Dispute Resolution Center, Inc. (PDRCI).

    • Or any mutually agreed alternative arbitration body if these are unavailable.

  • Costs and Fees: Arbitration costs and fees shall be governed by the rules of the selected arbitration forum. Each party is responsible for their own legal costs, unless otherwise required by applicable law or arbitration rules.

  • Arbitration may be conducted:

    • In person.

    • By video conference.

    • By phone.

    • Or any other method mutually agreed upon.

C. Arbitrator’s Authority

The arbitrator has the exclusive authority to resolve all disputes relating to the scope, validity, enforceability, or interpretation of this Arbitration Agreement.

The arbitrator may:

  • Award monetary or non-monetary relief consistent with applicable law.

  • Issue a written decision including factual findings, legal conclusions, and any damages awarded.

The arbitrator has the same authority as a judge in a court of law.

Class actions, collective claims, or representative actions are strictly prohibited in arbitration. Any attempt to bring such claims will default to court jurisdiction.


D. Opt-Out Provision

  • You may opt out of this Arbitration Agreement within 30 days of agreeing to the FarmyHub Terms by sending a written notice to info@farmyhub.com.

  • Your notice must include:

    • Full name.

    • Registered email address.

    • A statement clearly expressing your desire to opt out of the Arbitration Agreement.

Opting out of arbitration does not affect the validity or enforceability of the remaining Terms.


E. Survival Clause

  • This Arbitration Agreement survives termination of your relationship with FarmyHub and remains enforceable.

  • Nothing in this section prevents either party from seeking interim injunctive relief in a court of competent jurisdiction to protect intellectual property or confidential information.

18. General Provisions

A. Governing Law and Exclusive Jurisdiction

  • This Agreement shall be governed by and construed in accordance with the laws of Estonia and applicable European Union regulations, without regard to conflict of law principles.

  • For users located in the Philippines, this Agreement also complies with relevant Philippine laws, including the Data Privacy Act of 2012 and the E-Commerce Act.

  • If litigation is required, exclusive jurisdiction shall lie with the competent courts of Tallinn, Estonia.

  • However, FarmyHub reserves the right to initiate legal proceedings in the Philippines where applicable.

B. Termination

FarmyHub may suspend or terminate your access to the platform, content, listings, or services at its sole discretion, without prior notice, if:

  • You violate these Terms.

  • You engage in illegal or harmful conduct.

  • Termination is required by law or necessary for platform integrity.

Termination does not affect any accrued rights or obligations of either party.


C. Relationship of Parties

Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between FarmyHub and users.

  • Users act solely as independent sellers or buyers on the platform.

D. Subcontracting

FarmyHub may subcontract or delegate any of its obligations under these Terms without requiring your prior consent.

E. Platform Changes

FarmyHub reserves the right to modify, suspend, or discontinue any part of the platform, features, or services at any time.

  • Such changes will be made while maintaining the overall integrity and purpose of the platform.

  • Where reasonably possible, significant changes will be communicated to users in advance.

E.1 Force Majeure

FarmyHub shall not be held liable for any failure or delay in performing obligations under these Terms due to circumstances beyond its control, including:

  • Natural disasters.

  • Pandemics.

  • Government actions.

  • Internet outages.

  • Cyber-attacks.

  • Technical failures.

  • Other force majeure events.

F. Severability

If any provision of this Agreement is found invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

G. Contact and Notices

  • You agree to keep your registered email address current and accurate for communication purposes.

  • Notices or official communication from FarmyHub will be sent via email or posted on the platform.

  • Delivery of electronic notices constitutes valid notice under applicable law.
